If you own a US LLC -- whether you formed it last month or five years ago -- there is a federal filing requirement you need to know about: Beneficial Ownership Information (BOI) reporting. Administered by the Financial Crimes Enforcement Network (FinCEN), this requirement applies to most LLCs, including those owned by non-US residents. What is BOI (Beneficial Ownership Information)?
The Corporate Transparency Act (CTA), enacted in 2021, requires most US companies to report their beneficial owners to FinCEN. A beneficial owner is any individual who directly or indirectly owns 25% or more of the company, or exercises substantial control over it.
The purpose is to combat money laundering, tax evasion, and other financial crimes by creating a federal registry of who actually owns and controls US companies. The information is not public -- it is only accessible to law enforcement, certain government agencies, and financial institutions (with the company's consent).
Who Must File a BOI Report? (Foreign-Owned LLCs)
Almost all LLCs are required to file a BOI report, including:
- Single-member LLCs owned by Indian citizens
- Multi-member LLCs with any non-US owners
- LLCs formed in any US state (Wyoming, Delaware, etc.)
- Foreign-owned LLCs registered to do business in the US
There are 23 categories of exempt entities, but these are mostly large companies (those with more than 20 employees and $5 million in revenue), banks, insurance companies, and publicly traded companies. If you are an Indian founder with a small LLC, you almost certainly need to file.
If you formed your LLC to accept payments via Stripe, run a SaaS, or freelance for US clients, you are required to file a BOI report. There are no exceptions based on revenue size or country of ownership for small LLCs.
Documents Required for BOI Filing
The BOI report requires the following information for each beneficial owner:
- Full legal name -- as it appears on your passport or government-issued ID
- Date of birth
- Residential address -- your actual home address in India, not the LLC's registered agent address
- Identifying document -- a copy of your passport (for non-US persons) or driver's license/state ID (for US persons), including the document number, issuing jurisdiction, and an image of the document
For LLCs formed after January 1, 2024, you must also report the company applicant -- the person who filed the formation documents. If eXpressLLC filed on your behalf, we would be listed as the company applicant.
Filing Deadlines and Penalties
The deadlines depend on when your LLC was formed:
- LLCs formed before January 1, 2024: Must file by January 1, 2025
- LLCs formed in 2024: Must file within 90 calendar days of formation
- LLCs formed on or after January 1, 2025: Must file within 30 calendar days of formation
The penalties for non-compliance are serious:
- Civil penalties: Up to $500 per day the report is late, capped at $10,000
- Criminal penalties: Up to 2 years imprisonment and $10,000 fine for willful violations
These penalties apply even if you were unaware of the requirement. Ignorance is not a defense. If you have an active LLC and have not filed, you should do so immediately. BOI is just one of several mandatory compliance filings that Indian LLC owners must track.
How to File BOI with FinCEN: Step-by-Step
BOI reports are filed directly with FinCEN through their online portal at boiefiling.fincen.gov. The filing is free -- FinCEN does not charge a fee. Here is the step-by-step process:
- Go to the FinCEN BOI e-filing portal and select "File BOIR" (Beneficial Ownership Information Report)
- Enter your company information: legal name, EIN or tax ID, US address, state of formation, and date of formation
- Enter beneficial owner information: your full name, date of birth, residential address in India, and passport details
- Upload a copy of your passport (clear, legible image of the identification page)
- If applicable, enter company applicant information: details of the person or service that filed the formation documents
- Review and submit. You will receive a confirmation with a transcript ID. Save this for your records.

Do I use my Indian address? Yes. You report your actual residential address, not the LLC's registered agent address in Wyoming.
